HelioAIntel Terms of Use

1. Agreement to these Terms

Effective date: October 31, 2026.

These Terms of Use (“Terms”) are a binding agreement between you and HelioAIntel LLC, a Delaware limited liability company (“HelioAIntel,” also doing business as “Helio Intel,” “we,” “us”). They govern your use of helioaintel.ai, the Sentinel monitoring system, the Daily Brief, the Executive Brief, alerts, the HelioAIntel mobile and desktop apps, and any related content or features (together, the “Service”).

By creating an account, subscribing, downloading an app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

IMPORTANT: Section 10 contains a binding arbitration agreement and class-action waiver. It affects how disputes are resolved. You may opt out within 30 days as described there.

Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Service for a business, clinic, pharmacy, law firm or other organization, you confirm you are authorized to bind that organization, and “you” includes it. You may not use the Service if you are located in a country subject to U.S. embargo or are on a U.S. government restricted-parties list.

Changes to these Terms

We may update these Terms. For material changes, we will notify you by email or in the Service at least 14 days before they take effect, except where a change is required by law. Continued use after the effective date means you accept the updated Terms. If you do not agree, cancel before the change takes effect.

2. The Service and its limits

HelioAIntel is a regulatory-intelligence and news service. Sentinel monitors public federal and industry sources, such as FDA, the Federal Register, DEA, federal court dockets and industry news, and summarizes developments affecting the GLP-1 and peptide landscape. The Service is provided for general informational and educational purposes only.

Not legal, medical or professional advice

The Service is not legal, regulatory, compliance, medical, clinical, pharmacy, tax or investment advice. It does not tell you whether any product, protocol, prescription or business practice is lawful or safe for you. Nothing in the Service is a recommendation to use, prescribe, compound, sell or buy any drug, peptide or product. Always consult a qualified professional licensed in your jurisdiction before acting on any information.

Counsel content published verbatim

Some content is written by independent attorneys who are not employees of HelioAIntel and is published exactly as written. That content is general commentary, not legal advice to you. Reading it, or contacting HelioAIntel, does not create an attorney-client relationship with HelioAIntel or with any author. HelioAIntel is not a law firm and does not practice law. The views of independent authors are their own. Each counsel-written piece names its author, firm and the states where the author is licensed, and may be considered attorney advertising in some jurisdictions.

Accuracy, AI and third-party sources

The Service uses automated tools, including artificial intelligence, to collect, summarize, score and classify information. Automated output can be incomplete, delayed, out of date or wrong, and urgency scores are opinions, not predictions. Source material belongs to third parties, and we do not control or guarantee it. Always confirm important information against the original source, which we link where available. We may change, add or remove sources, features, schedules and delivery times at any time.

No guaranteed delivery

Alerts and briefs depend on third-party services, networks and devices. We do not guarantee that any alert or brief will be delivered, delivered on time, or capture every relevant development. Do not rely on the Service as your only source for time-sensitive decisions.

Reporting on companies and people

The Service reports on warning letters, recalls, lawsuits, enforcement actions and other public records that may name companies or individuals. These reports summarize what public sources say. An allegation, complaint or warning letter is not a finding of wrongdoing, and its inclusion is not a statement by HelioAIntel that anyone broke the law. If you believe something we published is inaccurate, email support@helioaintel.ai with the subject “Correction Request,” and we will review it promptly.

American Peptide Association

The Service is powered by the American Peptide Association. Any membership, program or service offered by the American Peptide Association is provided by it under its own terms, not by HelioAIntel.

3. Accounts, subscriptions and billing

Your account

Give accurate information and keep it current. Keep your password secure; you are responsible for all activity under your account. Tell us promptly at support@helioaintel.ai about any unauthorized use. A Basic subscription covers one person. A Premium subscription covers up to 5 users within the same organization. Each user needs their own login, and logins may not be shared.

Plans

We currently offer Basic ($10 per month, 1 user) and Premium ($100 per month, up to 5 users in one organization). Plan features are described on our pricing page at the time you subscribe. Prices are in U.S. dollars and exclude any applicable taxes.

Automatic renewal

Your subscription renews automatically every month and your payment method is charged the then-current price until you cancel. Before you are first charged, we will show you the price, billing frequency and how to cancel, and we will email you a confirmation with the same information.

Your consent. At checkout you will be asked to check a box agreeing to these automatic renewal terms. We do not start a subscription without that affirmative consent, and we keep a record of it.

Annual reminder. At least once a year, we will email you a reminder of your subscription, including the price, how often you are billed, and how to cancel.

How to cancel

You can cancel online at any time in your account settings, or by emailing support@helioaintel.ai. Cancellation takes effect at the end of your current billing period, and you keep access until then. If you subscribed through the Apple App Store or Google Play, cancel through that store’s subscription settings.

Refunds

Except where required by law, payments are non-refundable, and we do not give refunds or credits for partial months or unused features.

Price changes

We may change prices. We will notify you by email at least 7 days and no more than 30 days before a price change takes effect on your subscription, with instructions to cancel. The new price applies from your next billing period after the notice period.

Payment processing

Payments on our website are processed by Stripe, Inc. under its own terms. We do not store your full card number. Purchases made in an app store are billed by that store under its terms. If a payment fails, we may suspend access until it is resolved. Please contact us before disputing a charge with your bank; if you file a chargeback for a charge you authorized, we may suspend your account while it is resolved.

Upgrades and downgrades

Upgrades take effect immediately, and you may be charged a prorated amount. Downgrades take effect at the start of your next billing period.

4. License and acceptable use

Your license

While your account is in good standing, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service and its content for your own personal use or your organization’s internal business use.

You may share a short excerpt (up to two sentences) of a brief with attribution to HelioAIntel and a link to helioaintel.ai. Anything beyond that requires our written permission.

You agree not to

  • Share your login, or exceed the number of users your plan allows (1 for Basic, 5 within one organization for Premium).
  • Copy, republish, resell, sublicense, forward in bulk or redistribute briefs, alerts or other content, including in newsletters, client reports, courses or paid communities.
  • Scrape, crawl or extract data, or use the Service or its content to train or improve any AI or machine-learning model.
  • Reverse engineer, decompile, or try to discover the Service’s source code, scoring methods or prompts.
  • Bypass security, access controls, rate limits or paywalls, or access the Service by automated means other than our apps.
  • Use the Service to build a competing product.
  • Use the Service for any unlawful purpose, or to market, sell or promote products in violation of law.
  • Post content that is unlawful, defamatory, infringing, or discloses anyone’s protected health information.
  • Interfere with the Service or other users.

Your content

If you submit comments, questions or other content, you keep ownership of it. You grant us a worldwide, royalty-free license to host, store, display and use it to operate and improve the Service. You are responsible for your content, and we may remove any content at our discretion.

Enforcement

We may suspend or terminate accounts that violate this section without refund, and pursue any remedy available by law.

5. Intellectual property

The Service, including Sentinel, the briefs, alerts, scoring, software, design, and the HELIOAINTEL and Sentinel names and logos, is owned by HelioAIntel or its licensors and protected by copyright, trademark and other laws. Except for the license in Section 4, no rights are granted to you. Third-party names, marks and source materials belong to their owners, and their mention does not imply endorsement.

Feedback

If you send ideas or suggestions, we may use them freely without obligation to you.

Copyright complaints (DMCA)

If you believe content in the Service infringes your copyright, send a notice to our designated agent with: your contact information; a description of the copyrighted work; the location of the material in the Service; a statement that you have a good-faith belief the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and your physical or electronic signature.

Designated agent: HelioAIntel LLC, Attn: Copyright Agent, 8 The Green, STE B, Dover, DE 19901, support@helioaintel.ai (subject: “DMCA Notice”).

We may terminate repeat infringers.

6. Communications, third parties and app stores

Communications

By creating an account you agree that we may send you service emails and in-app or push notifications, including briefs, alerts, billing notices and changes to these Terms. You can turn off push notifications in your device settings and unsubscribe from marketing emails using the link in each email. Service and billing messages continue while you have an account. We will not send text messages unless you separately and expressly opt in. You agree that notices, agreements and other communications we send electronically satisfy any legal requirement that they be in writing.

Third-party links and services

The Service links to third-party websites, sources and services, including Stripe, app stores and hosting providers. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

Apple App Store terms

If you downloaded an app from the Apple App Store:

  • These Terms are between you and HelioAIntel only, not Apple. HelioAIntel, not Apple, is responsible for the app and its content.
  • Your license to the app is limited to use on Apple-branded devices you own or control, as permitted by the App Store usage rules.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the app’s purchase price, if any. Apple has no other warranty obligation for the app.
  • HelioAIntel, not Apple, is responsible for any claims relating to the app, including product liability, legal or regulatory compliance, consumer protection, and intellectual-property infringement claims.
  • You confirm you are not located in a country subject to a U.S. government embargo or listed on a U.S. government prohibited or restricted parties list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play

If you downloaded an app from Google Play, the Google Play Terms of Service also apply. Google is not a party to these Terms and is not responsible for the app.

7. Disclaimers, limitation of liability and indemnification

Disclaimer of warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, HELIOAINTEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS OR UNINTERRUPTED OR ERROR-FREE OPERATION. YOU USE THE SERVICE AND RELY ON ITS CONTENT AT YOUR OWN RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HELIOAINTEL AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, CONTENT AUTHORS AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, REGULATORY FINES OR PENALTIES, ENFORCEMENT ACTIONS, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR ANY RELIANCE ON ITS CONTENT, EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you. These limits apply to the fullest extent the law allows.

Indemnification

You will defend, indemnify and hold harmless HelioAIntel and its members, managers, employees, contractors and content authors from any claims, losses, liabilities, damages, fines, costs and expenses, including reasonable attorneys’ fees, arising from: (a) your use of the Service; (b) your violation of these Terms or of any law; (c) your content; or (d) any product, service, prescription or business practice you offer, including any decision you make based on the Service.

8. Termination and account deletion

You may cancel and stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Service or others. If we end the Service entirely for reasons other than your breach, we will refund any prepaid fees for the unused period.

You can request deletion of your account and data at any time through our Delete Account page. Our Privacy Policy explains what we keep and why. Sections 2, 4 (restrictions), 5, 7, 9, 10 and 11 survive termination.

9. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and by the Federal Arbitration Act for Section 10. Nothing in these Terms takes away consumer protections that the law of your state of residence gives you and that cannot be waived by contract.

10. Dispute resolution and arbitration

Informal resolution first. Before filing any claim, you and we agree to try to resolve it informally. Send a written notice describing the dispute and the relief sought to support@helioaintel.ai with the subject “Legal Notice” (we will reply to your account email). If it is not resolved within 60 days, either party may start arbitration.

Binding arbitration. Any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or its Commercial Rules for business customers). Arbitration may be held by video or in the county where you live. The arbitrator may award any individual relief a court could.

Mass arbitration. If 25 or more substantially similar demands for arbitration are filed against HelioAIntel by or with the help of the same or coordinated counsel, the AAA’s Mass Arbitration Supplementary Rules will apply. To the extent those rules allow: each claimant must first complete the informal resolution process above; the demands will be administered in batches of up to 50, with one arbitrator per batch; up to 10 bellwether cases will be decided first to help resolve the rest; and administrative fees will be assessed per batch rather than per claim.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek a court order to stop infringement or misuse of intellectual property or the Service.

Class-action waiver. You and HelioAIntel may bring claims only individually, not as a plaintiff or class member in any class, collective or representative action. If this waiver is found unenforceable for a claim, that claim will proceed in court, not arbitration.

Public injunctive relief. Any claim for public injunctive relief that the law of your state does not allow to be arbitrated will be stayed until the individual claims are arbitrated, and then decided by a court.

Court venue. Any claim not subject to arbitration, including if you opt out, will be brought only in the state or federal courts located in Delaware or in the county where you live, and both parties consent to their jurisdiction. To the extent permitted by law, you and HelioAIntel waive any right to a jury trial for such claims.

Opt out. You may opt out of this Section 10 by emailing support@helioaintel.ai (subject: “Arbitration Opt-Out”) within 30 days after you first accept these Terms, with your name, account email and a statement that you opt out of arbitration.

11. General terms

These Terms, the Privacy Policy, and any plan terms shown at checkout are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. There are no third-party beneficiaries of these Terms except Apple, as stated in Section 6.

12. Notice for California users

Automatic renewal. If you are a California resident, your subscription is governed by California’s Automatic Renewal Law (Business and Professions Code Sections 17600-17606). In line with that law: we disclose the renewal terms clearly before you subscribe; we obtain your express affirmative consent and keep a record of it; we confirm the terms by email after you subscribe; we let you cancel online through your account settings, the same way you signed up; we notify you by email at least 7 and no more than 30 days before any price change; and we send you an annual reminder with your price, billing frequency and how to cancel.

Consumer complaints: under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (916) 445-1254 or (800) 952-5210.
